A Day in the Life:
Manage the day-to-day execution of assigned transactions and workstreams within
the global franchise conversion programme. Bring together internal teams and
external advisors to progress diligence, transaction documentation, signing,
closing and post-close activities, keeping delivery aligned with the wider
separation and franchise platform programmes.
Reporting to the Director, Transaction Lead, you will take ownership of defined
deliverables, resolve execution issues and provide recommendations on key
decisions. The Director retains overall transaction leadership and oversight of
negotiation strategy, with material commitments and approvals escalated through
the agreed governance.
What You'll Do:
Transaction execution
• Manage assigned transactions or substantial workstreams from structuring
through signing and closing, within the scope and mandate agreed with the
Director.
• Own detailed execution plans, critical paths, issue logs and closing
checklists; track regulatory and other approvals with Legal and escalate
risks to delivery.
Internal and external team coordination
• Coordinate deliverables across Finance, Legal, Tax, Operations, HR, IT and
external advisors; run working-level meetings and follow through on actions.
• Provide day-to-day guidance to Analyst resources on assigned work and review
outputs for accuracy and completeness.
Transaction structure and agreements
• Work with Legal to coordinate business inputs to documentation including sale
agreements, franchise agreements and related commercial documents.
• Maintain list of commercial issues and assess operational implications to
support negotiations within an agreed mandate, escalating material changes
for approval.
Counterparty engagement and diligence
• Manage day-to-day diligence, including VDR readiness, request allocation,
response quality and controlled information release.
• Coordinate buyer and franchisee screening inputs, advisor interactions and
management meetings; escalate sensitive requests and support onboarding
planning.
Cross-pillar coordination
• Work with the Franchise Transformation Office and franchise platform teams to
align transaction milestones with perimeter decisions, separation
dependencies and day 1 readiness.
• Identify operational constraints and coordinate actions with accountable
workstream leads to protect deal timing and execution.
TSA and ongoing services
• Coordinate inputs to transition services and other ongoing franchise
services, maintaining a clear distinction between temporary support and
permanent obligations.
• Work with functional owners to document scope, pricing, duration, service
levels and exit milestones for review and agreement.
Transaction economics
• Maintain transaction and separation cost forecasts, advisor fee trackers and
estimates of stranded costs and dis-synergies, reconciling inputs with
Finance.
• Analyse variances, challenge assumptions and prepare financial and commercial
assessments to support recommendations.
Governance support
• Prepare transaction updates and decision papers for the Director, SVP,
Executive Sponsor and SteerCo, setting out progress, options, recommendations
and implications; maintain clear decision and approval records.
Post-close execution
• Coordinate assigned post-close actions, including TSA performance, billing,
disputes and exit milestones, with the Franchise Transformation Office and
functional owners.
• Track separation and stranded costs against estimates and escalate unresolved
obligations or cost pressures
What We're Looking For:
* 5–10 years of relevant experience in corporate development, M&A execution,
investment banking, transaction advisory or private equity, with hands-on
responsibility for transaction workstreams.
• Sell-side transaction experience, including delivery through signing and
closing; divestiture or carve-out experience strongly preferred.
• Working knowledge of sale and purchase agreements, TSAs and commercial
contracts, with the ability to connect terms to operational requirements.
• Experience coordinating internal functions and multiple advisors, influencing
delivery without direct authority and escalating issues with clear
recommendations.
• Strong financial analysis and Excel skills, including cost forecasting,
variance analysis and assessment of separation and stranded costs.
• Disciplined project management, sound commercial judgement and confidence
presenting to senior stakeholders.
• High standards of accuracy, confidentiality and ownership; ability to manage

• Cross-border transaction, post-close separation or franchise-sector
experience would be an advantage.
